§ One

How we
measure.

Two units run through everything below. OPs are how we score earning each year. bps are how we measure ownership of the company. The whole program is just turning the first into the second, once a year.

Raffle tickets for the year

OPs are how we score earning. They have no fixed dollar value on their own — they decide your share of the year's release pool. If you hold 10% of all OPs in the Revenue bucket this year, you get 10% of that bucket's equity. OPs reset every year — each year you have to earn fresh ones.

bps

Pieces of the company

bps is how we measure ownership itself. 1 bps = 0.01% of the company. 100 bps = 1%. 10,000 bps = the whole company. We use bps because integer math is exact — no rounding errors when divvying up equity. Once you're granted bps, they're yours forever (subject to the same dilution every other holder takes).

200 bps released = 2% of company. 664 bps granted = 0.0664% owned.

Raffle tickets become real ownership

At year-end, the system looks at everyone's OPs, divides up that year's bps release pro-rata to each person's share of OPs, and writes a PPU contract granting you those bps. The OPs are the score; the bps are the trophy. Points reset next season; the trophy stays on your shelf.

Your OPs / total OPs × release bps = your bps grant.
§ Two

Three ways
to earn.

You earn Ownership Points (OPs) in three buckets. Each year's release pool is split 60 / 20 / 20 between them. OPs are ranking units inside their bucket — they decide your slice of that bucket, not a fixed dollar value.

You earn Ownership Points just for staying active. Year 1 active = 5,000 OPs. Year 2 consecutive adds +2,000. Years 3+ add +3,000 each. Founding cohort (first 12 months) gets a 1.5× multiplier on this bucket for three years.

20% of the pool

Workshop = 3,000 OPs. Referral = 2,000. Mentor session = 1,000. Quarterly moderation = 500. Annual cap of 10,000 per creator, reviewed by the Creator Council before counting.

§ Three

The five-year
release.

We don't hand out all 25% at once. The bulk of it releases over five years on a fixed schedule; the remainder stays in reserve. If creators don't show up in a given year, the unearned equity stays unissued. Nothing is given away — it's always earned.

§ Four — Worked example

How ownership
is calculated.

§ Five

The rules that keep it
fair.

Caps stop any one creator from running away with the program, and a small revenue floor keeps the Revenue bucket meaningful. Excess from caps doesn't disappear — it rolls forward into the next year's pool.

Annual cap
0.5%

No single creator earns more than half a percent of the company in any one year. Excess rolls forward into next year's pool — money stays with creators, just later.

Lifetime cap
2.0%

No single creator holds more than two percent of the company, ever. Once you hit it, additional grants are deferred or redirected.

Revenue floor
$500 / yr

You need at least $500 in settled revenue in a year to receive a Revenue-bucket payout. Loyalty and Contribution buckets have no floor.

§ Six

The promises
we're locking in.

Each year's grant is a Profit Participation Unit (PPU) — a profit-sharing contract with the same economic outcome as owning stock. It pays your share of company profits and any sale or exit proceeds. No voting rights, no governance — just economic upside.

Live dashboard, annual grants

Your Ownership Point total updates in real time. Equity grants happen once a year, 120 days after the year closes.

90-day notice on every change

Any change to weights, caps, multipliers, or values requires 90 days' public notice and majority approval from the elected Creator Council before taking effect.

Earned grants are protected

If the platform pivots or is acquired, every grant you've already earned is protected. Future-year equity that hasn't been earned yet stops accruing — but it can't be retroactively stripped.

You dilute like everyone else

When the company raises new investment, your equity dilutes the same way every other holder's does. No special treatment in either direction.

§ Seven

The founding cohort
bonus.

Sign as a creator inside the launch window — open until January 1, 2027 — and your Loyalty OPs get a permanent 1.5× multiplier for your first three years. Same activity, half again the equity.

Closes in 12 weeks. Multiplier expires Jan 2029.

Numbers above assume continuous activity (4 active quarters per year). Loyalty is one of three OP buckets — Revenue and Contribution stack on top, both unaffected by cohort. The 1.5× applies to Loyalty for years 1-3 of cohort tenure, then drops to 1.0× from year 4 onward. Current pool parameters →
